It depends on what sort of structured deal you are offering. If it is money over 12-24 months then they should really accept the deal. If you are offering the money for appearences/goals/promotion then if I were the other teams manager I wouldn't accept. That money is never guaranteed to paid, and plenty of times I had sold players with good sell on fees or money tied to appearences/goals that I have never received as the player moves on for free or before his appearences get high enough.

In the game though a minimum release fee is only activated by money up front. The other clauses don't count.
