Barca have made me a good offer for Vidic:

5m upfront + 40m over 24months (thats 1.7m a month)

I'm half way through the first season (Januaray) and my back line have only let in 10goals in the leauge and we are yet to lose a game.

Do I accept this offer, it's a toughy, there arn't mnay players I can replace him with and Pique and Breno are not yet ready to fill his shows.

I would say deal. You've Pique and Jon Evans still in your team which can fill his boots

send him off with a stamp on his face (just to make sure he reaches Camp Nou),and go buy Barzagli or Kompany or Lucio or enjoy being rich !

Pique (and Evans when he matures a little) really could fill in his boots; also, Wes Brown (if you haven't sold him) looks more than able to take over.

-Barzagli gone to inter, so unavalible.
-Lucio is too old to buy now.
-Kompany isn't that solid at the back, he's more a getting forward type of DC.

Hence I'm struggeling to identify a viable reaplcement.

Go for Breno from Sao Paulo then if you wish huge PA or Radoi if you wish more solid solution
or Garay if you need both PA and skill
or Criscito if you wish to cover your defence for the next 10 years

I did exactly the same thing (although the offer i receieved for Vidic was a little less) sold him to Milan and bought cristian zapata to replace him for 14m with plenty left over for further strengthening. Highly recommend Zapata as your replacement, excellent stats and a lot quicker than Vidic too.

You might wanna try one of the Inter guys - Burdisso or Cordoba. You'll get either one for ~20 M euro and they are great, as they can play any position in the backline, have great heading, strength and pace and they're quite consistent.
