Jason can confirm it later, but in real life:

1) Yes, but I don't know if it's like this in FM2006. If it isn't then it's the two MLS Cup finalists that qualify to the Champions' Cup.

2) The MLS Cup winner qualify to Copa Sudamericana.

Actually, beginning with this season (so it's not in FM), the MLS Cup winner and the Supporter's Shield winner qualify for the Champions Cup. If the same team wins both of those trophies, then the 2nd spot in the Champions Cup goes to the team with the 2nd most points in regular season play.

CONMEBOL will announce the Copa Sudamericana format on May 1st. Until then I think there is no answer for this question.
